Terms of Service

These Terms of Service ("Terms") govern your access to and use of Supemma and the AI assistant "Emma" (the "Service"), operated by Latent Ape LLC, a Tennessee limited liability company ("Latent Ape", "we", "us", or "our"). By creating an account, connecting an account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
You must be at least 18 years old and able to form a binding contract. By using the Service you represent that you meet these requirements and that the information you provide is accurate. The Service is currently offered primarily to users in the United States.
2. The Service
Supemma is a personal AI assistant you reach by SMS, email, or the web. Emma can take actions on your behalf when you ask — for example, drafting and sending messages, creating documents, adding calendar events, browsing the web, searching, and remembering preferences you share. The Service is provided on an early-access basis and may change, add, or remove features at any time.
3. Your account
Authentication is handled through our identity provider. You are responsible for activity under your account and for keeping your credentials and linked channels (phone, email, connected accounts) secure. Notify us promptly of any unauthorized use.
4. AI output and your responsibility
- Emma is an automated assistant. Its output may be inaccurate, incomplete, or out of date, and you should independently verify anything important.
- The Service is not professional advice (legal, medical, financial, tax, or otherwise) and must not be relied upon as such.
- When you instruct Emma to act — send a message, create or modify a document, schedule an event, or interact with a connected service — you authorize that action and are responsible for its consequences. Review actions that carry real-world or financial impact before relying on them.
5. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service for anything unlawful, harmful, deceptive, harassing, or infringing;
- send spam or unsolicited bulk messages, or violate the policies of SMS, email, or other carriers and providers;
- attempt to access accounts, data, or systems you are not authorized to access;
- reverse engineer, scrape, overload, disrupt, or circumvent rate limits or security of the Service;
- use the Service to build a competing product, or to develop or train a competing model; or
- upload malware or use the Service in a way that infringes others' privacy or rights.
6. Connected and third-party services
The Service integrates third parties (for example Google, messaging and email providers, and AI providers). When you connect an account, you authorize Emma to access and act on it as you direct. Your use of those third-party services is governed by their own terms and policies, and we are not responsible for them. You can disconnect a connected account at any time in your settings.
7. Your content and license
You retain ownership of the content you provide and the content Emma creates for you ("Your Content"). You grant Latent Ape a worldwide, non-exclusive license to host, process, transmit, display, and create derived data from Your Content as needed to operate, secure, personalize, analyze, and improve the Service, as described in our Privacy Policy. You represent that you have the rights necessary to grant this license.
8. Feedback
If you send us suggestions or feedback, you grant us a perpetual, royalty-free right to use it without restriction or obligation to you.
9. Intellectual property
The Service, including Emma, its software, and its look and feel, is owned by Latent Ape and protected by law. We grant you a limited, revocable, non-transferable license to use the Service for your personal, non-commercial use, subject to these Terms. All rights not granted are reserved.
10. Plans, fees, and beta
Some features may be offered free or as part of an early-access program and may have usage limits or change at any time. If paid plans are introduced, pricing and billing terms will be presented before you are charged.
11. Suspension and termination
You may stop using the Service at any time and request deletion of your account. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or if we discontinue the Service. Sections that by their nature should survive termination (including Sections 7–9 and 12–16) will survive.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EMMA'S OUTPUT OR ACTIONS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATENT APE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100.
14. Indemnification
You will indemnify and hold harmless Latent Ape from claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.
15. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Tennessee for any dispute not subject to other agreement.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
